VIII. General

Amended and Restated - As Amended Through June 6, 2008

1. Meetings of the Board of Trustees and Committees of the Board shall be governed by the rules laid down in Robert's Rules of Order.
2. All Rules, Regulations and Bylaws upon which the Board of Trustees have heretofore acted, which are inconsistent or in conflict with any of these Bylaws, are hereby declared null and void.
3. These Bylaws may be amended by the affirmative vote of a majority of the Trustees present and voting at any meeting at which a quorum (as defined in Section 10 of Article I) is present; provided, however, that written notice of any proposed amendment shall be given to all Trustees by the Secretary of the Board not less than seven days in advance of the meeting.
